Exclusive rights agreement
1. Parties
This Exclusive Rights Agreement (the "Agreement") is between Matthew Coutts, professionally known as Koots ("Producer"), and the buyer named above ("Buyer"), for the musical composition and sound recording named above (the "Beat"). Buyer has paid the fee above in full.
2. What Buyer gets
Producer grants Buyer an exclusive, worldwide, perpetual license to record vocals and other new material over the Beat to create new songs (each a "New Song"), and to reproduce, distribute, stream, perform, monetize and synchronize the New Songs without limits on copies, streams, videos or radio plays. Buyer may edit the Beat's arrangement as needed.
3. Exclusivity
From the date above, Producer will not license or sell the Beat to anyone else and will remove it from sale. Licenses Producer granted before this date stay valid for their own terms and limits, and Buyer will not make claims against those licensees.
4. Ownership
Producer keeps the copyright in the Beat's composition and sound recording. Buyer owns the lyrics and vocal performances Buyer creates, and the master recordings of the New Songs.
5. Songwriting and publishing
Each New Song's composition is owned 50% by Producer and 50% by Buyer and Buyer's co-writers, for both the writer's share and the publisher's share. Buyer will list Producer with this share when registering any New Song with a performing rights organization, publisher, administrator or distributor.
6. Credit
Buyer must credit Producer as "Prod. Koots" wherever credits can be given.
7. Content ID
Buyer may register the New Songs (not the Beat on its own) with YouTube Content ID and similar systems, and will release any claim against Producer's own content and against licensees from before the date above when asked.
8. What Buyer may not do
- Sell, lease or share the Beat on its own or as an instrumental, including in beat packs, sample packs or AI training data.
- Claim to be the Beat's producer.
9. Promises, liability and refunds
Producer confirms that Producer created the Beat and has the right to grant this Agreement. Buyer confirms that Buyer's lyrics and performances are original or properly licensed. Producer's total liability will not exceed the fee paid. The fee is non-refundable once the files are delivered.
10. General
This Agreement is governed by the laws of United State. It is the entire agreement between the parties about the Beat, and any change must be in writing. Buyer accepted this Agreement electronically by completing payment, which has the same effect as a signature.
